A comparison of legal forms can enable a quantum leap

A comparison of legal forms makes sense when founding a company, making planned investments, planning business succession or before a sale.

There is no one-size-fits-all answer to this question. Rather, it requires an assessment of the individual case and consideration of the respective parameters (e.g. what is the purpose of the Businesses and what liability risks does this activity entail? How much capital is available and in what form? How should the Businesses be organized?)

The main differences lie in the amount of capital (lower in the case of the GmbH), the anonymity of the owners (only in the case of the AG) and the board structure (more personal in the case of the GmbH or the owner is usually also the managing director).

A GmbH requires a founding capital of at least CHF 20,000 and an AG a founding capital of at least CHF 100,000 (partial capitalization of at least CHF 50,000 is possible).

In principle, yes, provided there is a surplus of assets. However, there are certain constellations that the law does not allow. In any case, various civil and tax law clarifications and precautions must be taken in good time.
